Proposed changes to Hanover Conservancy Bylaws

The Governance Committee of the Board of Directors has proposed the following amendments to the Conservancy’s bylaws, to be voted on by the membership at our Annual Meeting (10/4). The relevant sections are included below, with proposed changes indicated in red. Item 1: Current language

Section 3.1 Number and Terms. The Corporation shall have a board of 13 Directors. The members of the Board of Directors shall be elected for terms not to exceed three years. No member shall serve more than three consecutive three-year terms, unless an exception is granted by the Board. Whenever possible, terms shall be staggered so that one-third of the terms expire each year. The President, Vice President, Secretary, and Treasurer shall be elected by the Board of Directors from their membership. Unless otherwise permitted by the Board of Directors, officers may serve up to three consecutive two-year terms. Regarding selection of new Board members, the Nominating Committee welcomes input at any time from any member of the corporation. Terms begin on January 1 and expire on December 31.

The President, Vice President, Secretary, and Treasurer shall be elected by the Board of Directors from their membership.
